Terms of collaboration for freelance consultants

The terms below are for information. The final framework agreement is signed separately, after KS Danmark has completed the professional assessment. This form is not a project order.

This translation is provided for convenience. The Danish version of these terms is the legally binding one.

7. Framework agreement โ€” not employment

The collaboration is a commercial freelance relationship between Kvalitetssikring Danmark ApS (KS Danmark) and the Consultant's business. The Consultant is not an employee, salaried employee, temporary worker or agent of KS Danmark. No salary, holiday pay, pension, sick pay or other employment rights are provided. The Consultant pays their own tax, VAT, insurance, equipment and other operating costs, and has no authority to bind KS Danmark. Neither party is obliged to offer or accept any particular number of projects. The Consultant may work for others provided confidentiality, independence, customer protection and the specific project order are observed.

8. Project orders and project-based payment

Each project is ordered in writing and separately. The order must state at least the project, deliverable, structural section, role, scope, deadline, project price and any milestones. The Consultant is bound only once the order has been accepted in writing. Payment is normally a fixed project price; hourly payment, additional work, travel or other supplements apply only by prior written agreement. Changes to the project basis, scope or deadlines must be notified immediately; additional work may only begin after a written supplementary order. Invoicing takes place after approved delivery or agreed milestones. The payment term is agreed in the framework agreement.

9. Delivery and professional responsibility

The Consultant delivers professionally correct, project-specific and timely work in accordance with the order, applicable regulatory requirements, the project basis, relevant standards, supplier instructions and KS Danmark's quality system. Missing basis, doubts and deviations must be recorded and escalated; they must not be filled in by guesswork. Material must not be described as accepted by a certified structural engineer without documentable acceptance.

10. Independence and use of others

Before each assignment the Consultant discloses relationships that could affect the independence of the inspection, and must not perform UK on their own work. Sub-consultants may be used only with KS Danmark's written acceptance and must be bound by at least equivalent terms.

11. Confidentiality, data and material

Non-public information about KS Danmark, customers, projects, prices, methods, templates, software and customer lists is confidential and may be used only for the ordered assignment. The obligation continues after termination for as long as the information remains confidential or constitutes trade secrets. Personal data is processed only on documented instruction; a separate data processing agreement is concluded if required. On payment, KS Danmark acquires the right to use, modify and transfer project-specific deliverables. The Consultant's pre-existing general tools remain the Consultant's. On termination, project material is returned and local copies deleted unless lawful retention is necessary.

12. Loyalty and customer protection

During a project the Consultant may not market their own services to the project customer, or accept direct assignments from that customer, without KS Danmark's written consent. For 24 months after the most recent project delivery or the termination of the framework agreement, whichever is later, the Consultant may not, with the aim of circumventing KS Danmark, directly or indirectly contact, solicit or perform equivalent DS 1140, inspection, documentation or advisory services for a Protected Customer without written consent. A Protected Customer is solely a customer the Consultant has worked for through KS Danmark, or had direct, documentable business contact with through KS Danmark. On termination KS Danmark provides a specific customer list. The clause does not cover documented active customer relationships predating KS Danmark's introduction, general untargeted marketing, or public tenders. On an unsolicited approach from a Protected Customer, the Consultant must inform KS Danmark before entering into an agreement. Legal note: the term is designed for a genuine B2B freelance relationship. If the relationship in practice becomes employment, mandatory rules on employment clauses may apply, and unreasonable terms may be amended or set aside under section 36 of the Danish Contracts Act.

13. Liability and insurance

The Consultant is liable under the general rules of Danish law for their own errors, omissions and breaches of contract, and must maintain relevant professional indemnity insurance. Any limitation of liability is agreed in the project order and does not apply in cases of intent, gross negligence, or breach of confidentiality, personal data or customer protection.

14. Breach, termination and disputes

Material breach may lead to immediate termination. This includes, among other things, incorrect qualification information, work outside the approved area, serious quality failures, lack of independence, unauthorised customer contact, breach of confidentiality or lapse of insurance. KS Danmark may suspend project and system access where quality or information security requires it, and documented losses may be claimed. The framework agreement may be terminated in writing with the notice period agreed therein; already accepted project orders continue. Confidentiality, data, rights, liability, customer protection and disputes survive termination. Danish law applies. Disputes are first addressed through management negotiation; if unresolved within 20 working days of written notice of dispute, the matter is decided by the ordinary Danish courts with KS Danmark's registered office as the agreed venue.

Basis: BR18 chapter 30 and annex 3, the Building Regulations' guidance to chapter 30, DS 1140:2019, DS/EN 1990 DK NA:2024, the Danish Trade Secrets Act and section 36 of the Danish Contracts Act. Each assignment is always assessed against the project's current basis and control plans.
